Terms of Service

These Terms of Service (the "Terms") constitute a binding agreement between you and Jemz Apps, LLC ("Jemz," "we," "us," or "our"). By downloading, installing, or using the Jemz mobile application or related websites and services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or 13 years or older with the consent and supervision of a parent or legal guardian, to use the Service. The Service is designed for adults experiencing the natural changes in memory that can occur with age. The Service is not a medical device and does not diagnose, treat, cure, or prevent any disease or medical condition. If you have concerns about memory or cognition, consult a qualified medical professional.

2. Free Trial, Subscriptions, and In‑App Purchases

Jemz may offer a free trial period. After any free trial period ends, continued access to some or all features may require a paid subscription or in‑app purchase ("IAP"). Subscriptions and IAPs are billed and managed by the platform provider through which you obtained the Service (for example, the Apple App Store or Google Play). Jemz does not process payments directly.

• Subscriptions automatically renew unless you cancel through your platform account settings before the renewal date.
• You are responsible for managing, changing, or canceling your subscription via your platform provider's account settings.
• Any refunds are subject to the platform provider's policies. Jemz does not issue refunds directly.

3. License to Use the Service

Subject to these Terms, we grant you a limited, personal, non‑exclusive, non‑transferable, non‑sublicensable, revocable license to download, install, and use the Service during any free trial period and while you maintain an active, paid subscription or IAP. The Service is licensed, not sold. This license is for personal, non‑commercial use only.

4. User Content and Feedback

The Service may allow you to submit or provide inputs such as names, associations, tags, stories, or other text and media (collectively, "User Content"). You retain ownership of your User Content. You grant Jemz a worldwide, royalty‑free, non‑exclusive, transferable, and sublicensable license to host, store, process, adapt, display, and otherwise use your User Content solely to operate, maintain, secure, and improve the Service and develop new features. Our use of personal data is further described in our Privacy Policy.

If you provide feedback, comments, or suggestions regarding the Service ("Feedback"), you agree that Jemz may use such Feedback without restriction or obligation to you, and you hereby grant Jemz a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit the Feedback for any purpose.

5. Intellectual Property and Generated Content

The Service, including all software, designs, text, graphics, images, logos, trademarks, AI models, algorithms, and other materials, as well as all outputs and generated visuals produced by the Service (collectively, "Jemz Content"), are owned by Jemz or its licensors and are protected by intellectual property laws. Except for the limited license granted in Section 3, no rights are granted to you. You may use generated visuals and other Jemz Content for personal, non‑commercial use only. Any commercial use, redistribution, re‑hosting, training of models on Jemz Content, or creation of derivative services without our prior written consent is prohibited.

6. Prohibited Uses

You agree not to, and not to permit others to:

• Use the Service for scientific, clinical, or academic research without Jemz's prior written consent;
• Use the Service or Jemz Content for commercial purposes without authorization;
• Copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or otherwise attempt to extract source code or underlying ideas of the Service;
• Scrape, harvest, or bulk download Jemz Content or generated outputs;
• Interfere with or disrupt the integrity or performance of the Service or its data;
• Violate applicable laws or infringe the rights of Jemz or any third party.

7. Third‑Party Content and Links

The Service may contain links to or allow you to access third‑party websites, services, or content. Jemz is not responsible for and does not endorse third‑party sites, services, or content, and is not liable for any damages related to your use of them. Your use of third‑party resources is at your own risk and subject to the third party's terms and privacy policies.

8. DMCA Notice

Jemz respects intellectual property rights and will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe any content available through the Service infringes your copyright, please send a notice including the information required by 17 U.S.C. § 512(c)(3) to our designated agent:

Your notice must include: (a) a description of the copyrighted work; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good‑faith belief that the use is not authorized; (e) a statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature. Jemz may remove or disable access to the material and may terminate repeat infringers where appropriate.

9. Disclaimers

THE SERVICE AND ALL JEMZ CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. JEMZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE, OR THAT RESULTS WILL MEET YOUR EXPECTATIONS. JEMZ IS NOT A MEDICAL SERVICE AND DOES NOT PROVIDE MEDICAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JEMZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. TO THE EXTENT NOT PROHIBITED BY LAW, JEMZ'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR ACCESS TO THE SERVICE DURING YOUR MOST RECENT SUBSCRIPTION OR PURCHASE PERIOD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jemz and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; or (c) your violation of these Terms or applicable law.

12. Termination and Discontinuation

Your license to use the Service automatically terminates when your free trial or paid subscription/IAP ends or is canceled. We may suspend or terminate the Service, or your access to it, at any time with or without notice, including if we believe you have violated these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict‑of‑laws principles. You and Jemz agree to the exclusive jurisdiction and venue of the state and federal courts located in California, except where prohibited by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, in‑app or on our website). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
